Terms of Use

These Terms of Use ("Terms") govern your use of the Sidewalkers service, website, and related features offered by Reynolds Labs LLC ("we," "us," or "our"). If you access or use Sidewalkers, you agree to these Terms.

Availability by Region

Sidewalkers may be offered only in selected countries or regions, and app features, pricing, subscriptions, ads, eligibility, plan limits, and availability may vary by region, platform, storefront, or release stage. We may add, remove, or change supported regions and commercial offerings over time. You are responsible for complying with the laws that apply to you.

App License and Service Terms

If you download Sidewalkers from Apple’s App Store, the license to the iPhone app is provided under Apple’s standard Licensed Application End User License Agreement. These Terms do not replace or override that Apple app license. Instead, these Terms govern your use of the Sidewalkers service, website, subscriptions, content, groups, and related features made available by Reynolds Labs LLC.

Use of the Service

Sidewalkers is a general wellness and social accountability service built for groups, challenges, shared progress, and encouragement. You may use Sidewalkers only in compliance with applicable law, Apple’s rules, and these Terms. You are responsible for the information you submit, the groups you join or create, and your use of shared features.

Age Eligibility

You must be at least 13 years old to use Sidewalkers. If you are under the age of majority where you live, you may use Sidewalkers only with the permission of a parent or legal guardian where required. You may not use the service if applicable law prohibits you from doing so.

No Medical Advice

Sidewalkers is a general wellness and social accountability product, not a medical service. Nothing in the app, website, notifications, prompts, summaries, challenges, or community features is medical advice, diagnosis, treatment, or a substitute for the judgment of a qualified healthcare professional. We do not create a doctor-patient, clinician-patient, or other professional healthcare relationship with you by providing the service.

You are solely responsible for how you use the information we provide. Always consult a qualified healthcare professional before making medical, treatment, exercise, nutrition, medication, or recovery decisions, and if you believe you may have a medical emergency, contact local emergency services immediately.

Accounts and Security

• You are responsible for maintaining the security of your account and devices.
• You must provide accurate information where required to use the service.
• You must promptly notify us through our support channel if you believe your account has been compromised.

License Restrictions

You may not, and may not allow anyone else to:

• copy, modify, reverse engineer, disassemble, or otherwise attempt to derive source code from Sidewalkers except where law permits it despite this restriction
• circumvent security, access controls, rate limits, or authentication measures
• use Sidewalkers in a way that violates law, infringes rights, or harms other users
• rent, lease, sell, sublicense, distribute, or transfer the app or any rights in it
• use the app for unlawful, deceptive, harassing, or abusive activity

User Content and Group Sharing

Sidewalkers includes social features. Content and information you submit, including profile details, activity updates, reactions, challenge participation, and related progress data, may be visible to other members of your group. You are responsible for making sure you have the right to share any content you upload or submit.

Acceptable Use

You may not use Sidewalkers to:

• harass, shame, threaten, or abuse other users
• upload unlawful, infringing, deceptive, or harmful content
• attempt unauthorized access to accounts, systems, or data
• scrape, reverse engineer, interfere with, or disrupt the service beyond what law permits
• misrepresent activity, identity, eligibility, or subscription status in a way that harms the service or other users

Subscriptions, Billing, and Refunds

Some features in Sidewalkers may require a paid subscription, purchase, or other fee-based access. In some regions or product variants, portions of the service may be supported by advertising or other monetization models instead of, or in addition to, subscriptions. If you subscribe in the iPhone app, payment is processed by Apple through the App Store, not directly by us. Apple controls the billing relationship for those purchases, including payment processing, renewals, and refund handling under Apple’s policies.

• Subscriptions purchased through the App Store may renew automatically unless canceled through your Apple account settings.
• You must manage cancellations through Apple.
• Any refund request must be submitted to Apple through Apple’s refund process.
• We do not provide direct cash refunds for App Store purchases processed by Apple.
• If ads are shown in a version of Sidewalkers, the ad experience, ad partners, and related disclosures may vary by region and will be governed by the Privacy Policy and in-product disclosures that apply at that time.

Support and Maintenance

Reynolds Labs LLC may provide updates, maintenance, bug fixes, or support for Sidewalkers at our discretion. We do not promise to maintain any specific feature, integration, or device compatibility.

Availability and Changes

We may modify, suspend, or discontinue any part of Sidewalkers at any time, including features, plans, integrations, monetization models, or availability. We are not liable for service interruptions, feature changes, loss of access, or downtime.

Third-Party Services and Data Sources

Sidewalkers may rely on third-party platforms and services such as Apple, Apple Health, authentication providers, hosting and content-delivery providers, analytics tools, messaging tools, and cloud infrastructure. The iPhone app may use limited pseudonymous usage and reliability telemetry to operate, secure, troubleshoot, and improve the service. Our public website does not use cookies or client-side behavioral analytics; we use aggregate hosting and content-delivery metrics to understand overall traffic and reliability. We are not responsible for outages, policy changes, billing decisions, privacy practices, or failures of third-party services. Apple Relationship

Apple is not responsible for the Sidewalkers service, these Terms, or claims arising from your use of the service. If you downloaded the Sidewalkers iPhone app from the App Store, Apple’s standard Licensed Application End User License Agreement applies to the app license, while these Terms apply to the Sidewalkers service and your relationship with Reynolds Labs LLC.

Disclaimers

Sidewalkers is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, perfect data accuracy, activity results, challenge outcomes, or compatibility with every device, service, or data source.

Limitation of Liability

To the fullest extent permitted by law, Sidewalkers and its affiliates, founders, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, use, or business opportunity arising out of or related to your use of the service. To the fullest extent permitted by law, we are also not liable for injuries, losses, disputes, or damages arising from your exercise decisions, health conditions, user interactions, group dynamics, third-party platform issues, billing actions taken by Apple, service outages, or your reliance on content produced by the service.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sidewalkers and its affiliates, personnel, and service providers from claims, liabilities, damages, and expenses arising from your content, your misuse of the service, or your violation of these terms.

Termination

We may suspend or terminate access to Sidewalkers if we believe you violated these Terms, posed a risk to other users, created legal exposure, or interfered with the service. You may stop using Sidewalkers at any time. Deleting the app alone does not cancel an App Store subscription.

We may provide tools that allow users to report accounts, profile content, or other user-generated content for review. We may investigate reported activity and may remove content, restrict group participation, suspend access, or terminate accounts if we believe these Terms were violated or other users or the service may be at risk.

Account Deletion Requests

You can request deletion of your account from the Settings screen in the Sidewalkers iPhone app. In some cases, deletion cannot be completed until certain responsibilities tied to your account are resolved. For example, if you own a group that still includes other members, you may need to remove those members and delete the group before your account can be deleted. Once a deletion request can be processed, it starts deletion of your account and the associated data we control in our active systems, subject to legal, security, fraud prevention, accounting, backup, and operational retention requirements. Deletion may remove access to groups, challenges, messages, progress history, and related content.

Content already shared with other users may remain in their copies or visible group views where the feature requires it. Deleting your account does not cancel App Store subscriptions or guarantee a refund.

Account deletion may not immediately remove pseudonymous analytics, crash-reporting, or infrastructure log records maintained by third-party service providers under their applicable retention and deletion controls.

If a group is deleted, we may retain a limited record of that deletion for security, fraud prevention, operational integrity, and recordkeeping. That record may include identifiers, group name, plan tier, member identifiers at deletion, deletion timestamps, and cleanup status, rather than the full deleted group content.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may update the effective date above and provide additional notice where appropriate. Continued use of Sidewalkers after updated terms take effect means you accept the revised terms.

Governing Law

These Terms are governed by the laws of the United States and the state where Sidewalkers is established, without regard to conflict-of-law rules, except where local consumer law requires otherwise. For the avoidance of doubt, this governing-law section applies to these service terms, not to any separate Apple app-license terms that govern the iPhone app download.

Severability

If any part of these Terms is unenforceable, the remaining parts will remain in effect to the fullest extent permitted by law.
